BYLAW AMENDMENT PROPOSALS - 2025
Having presented and discussed the two proposed amendments at the February and March 2025 Chapter meetings, in accordance with Valley Chapter Bylaws, you are now being called up to cast a vote on behalf of your active regular member association. We strongly encourage you to review the proposed bylaw amendments one final time before casting your vote. Voting will take place at the April 10, 2025, Chapter meeting.

Proposal #1 - Political Contributions: Creates new section under Article IX regarding political contributions. Places limits on contribution amounts for candidates and measures. Allows for increase through a roll-call vote.
Proposal #3 - Chapter Endorsements: Defines who can make endorsement requests to put Chapter in line with PORAC Bylaws. Also requires that an affected association has officially endorsed their candidate before being permitted to make an endorsement request of the Chapter.

Proposal #2 - Chapter Officers: Changes the date in which newly elected Chapter officers take their respective officers to January 1st of the new year following Conference. Puts us in compliance with PORAC Bylaws.
Proposal #4 - Chapter Endorsements: Cleans up current language regarding the endorsement process for local candidates. Establishes that the only allowable questionnaire is the Valley Chapter Local Questionnaire. Makes it the responsibility of affected association to provide correct questionnaire info to their candidate.

DESIGNATION FORM
Voting to amend the Chapter bylaws may only be accomplished through a representative vote, which can only be cast by the current president, on file with PORAC, of an active regular member association.
If, for some reason, the association president is not able to complete and submit a ballot or is unable to attend the meeting personally, we strongly urge them to submit an Official Designation Form. A Designation Form allows an association president to designate a member of their own association to vote, on their behalf, ensuring the association has a voice.
The Designation Form must be completed and submitted to the Chapter president prior to the official start (1900 hours) of the meeting specified on the form.

A representative vote is required when voting on bylaw amendment proposals. This means that only the president, on file in the PORAC Membership System, of an active member association is permitted to cast a vote. In this event the president is unable to cast a vote, to ensure their association is heard, they can submit an Official Designation Form, authorizing a member of their own association to vote on their behalf.
FAQs Regarding Bylaw Amendments
Who can bring a bylaw amendment proposal forward and when can they do it?
Chapter bylaws state that a proposed amendment shall be presented, in writing, at any regularly scheduled Chapter meeting. The only caveat is that the presentation is for the purpose of discussion only. No action can be taken on the proposal(s) until the next regularly scheduled Chapter meeting. (Article XI, Section 1(A) Chapter bylaws).

All of the notifications have been made. When do we vote and who can vote?
Once discussion of the proposed amendment(s) has occurred, it can voted upon at the next scheduled, or any following meeting, provided the provisions listed immediately above have been met in full.
Chapter bylaws state that a proposed amendment shall be presented, in writing, at any regularly scheduled Chapter meeting. The only caveat is that the presentation is for the purpose of discussion only. No action can be taken on the proposal(s) until the next regularly scheduled Chapter meeting. - There is no prerequisite or requirement to notify members of the proposal.
Okay, so I presented a bylaw amendment proposal, now what?
- First, the Chapter secretary is required to attach a complete copy of the proposed language (as presented) to the meeting minutes. (Article XI, Section 1(B) Chapter bylaws).
- Second, the text of the proposed amendment(s) must be posted on the Chapter website, as well as emailed to the Chapter contact list at least ten (10) days prior to the next regularly scheduled Chapter meeting. (Article XI, Section 1(C) Chapter bylaws).
- An official (downloadable) ballot must be included in the email (Article XI, Section 1(D) Chapter bylaws).
- An official ballot must be made available for download on the Chapter website (Article XI, Section 1(D) Chapter bylaws).

- Only the president (officially on file with PORAC's membership services) of a regular member association may cast a vote during a representative vote. (Article VIII, Section 1(B) Chapter bylaws)
- The Chapter officers will have the official list on the night of the vote to ensure compliance with Chapter and PORAC voting rules.
- If voting by ballot, the ballot (signed by the association president) can be submitted as follows:
- By email, regular mail, or in person to the Chapter president at the Chapter meeting. Regardless of how the ballot is submitted, it must be in the Chapter president's possession prior to the official start of the Chapter meeting in which voting is to take place (1900 hrs). (Article XI, Section 1(D) Chapter bylaws).
- To provide emphasis: The ballot must be in the Chapter president's possession prior to the meeting.
- Make sure you arrive early to the meeting. Do not wait until a few days prior to mail your ballot in.
- By email, regular mail, or in person to the Chapter president at the Chapter meeting. Regardless of how the ballot is submitted, it must be in the Chapter president's possession prior to the official start of the Chapter meeting in which voting is to take place (1900 hrs). (Article XI, Section 1(D) Chapter bylaws).
- Should an association president be unable to attend the meeting, they may designate a proxy by submitting a proxy form, dated at least four (4) days prior to the meeting date. The proxy must carry the name of the association granting the proxy, the name of the person to whom the proxy is given, signature of the association president (on file with PORAC) and the date the proxy was signed. (Article VIII, Section 1(B)(1) and (2) Chapter bylaws)
- Once the proxy is given, it cannot be rescinded, unless the grantor of the proxy is able to attend the meeting after submitting the form. (Article VIII, Section 1(B)(2)(a) Chapter bylaws)
